Welcome to Bilsy!
These Terms of Service ("Terms") govern your use of the Bilsy website, mobile application, and voice-powered invoicing services (collectively, the "Service"). By accessing or using Bilsy, you agree to be bound by these Terms.
Please read these Terms carefully before using our Service. If you do not agree with any part of these Terms, you must not use Bilsy.

1. Acceptance of Terms
By creating an account, accessing our website, or using our mobile application, you acknowledge that:
- You have read, understood, and agree to be bound by these Terms
- You have read and agree to our Privacy Policy
- You are at least 18 years old and have the legal capacity to enter into this agreement
- If you are using Bilsy on behalf of a business, you have the authority to bind that business to these Terms
Important Notice
These Terms contain a binding arbitration clause and class action waiver (Section 16). This affects your legal rights. Please read carefully.
2. Service Description
Bilsy provides a voice-powered mobile invoicing platform that enables users to:
- Create professional invoices using voice commands
- Generate and send quotes to clients
- Track expenses and payments
- Manage client information and relationships
- Accept payments through integrated payment processors
- Generate financial reports and analytics
2.1 Service Availability
Launch Date: Bilsy will launch in April 2026. Prior to launch, we offer a waitlist signup for early access.
Geographic Availability: Initially available in the United States, Canada, and United Kingdom. Additional countries may be added over time.
2.2 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service at any time
- Add or remove features with or without notice
- Change pricing structures (with 30 days' notice for existing users)
We will make reasonable efforts to notify you of material changes via email or in-app notification.
3. Account Registration and Security
3.1 Account Creation
To use Bilsy, you must create an account by providing:
- Valid email address
- Secure password (minimum 8 characters)
- Business name and information (for invoicing purposes)
- Accurate and complete registration information
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access at security@bilsy.app
- Ensuring your account information is accurate and up to date
3.3 Account Termination
You may terminate your account at any time through account settings or by contacting support.
We may suspend or terminate your account if:
- You violate these Terms
- Your account shows fraudulent or illegal activity
- Your payment method fails repeatedly
- You provide false or misleading information
- Your use harms Bilsy or other users
Upon termination, your access to the Service will cease, but invoice data may be retained for 7 years per legal requirements.
4. Acceptable Use Policy
You agree to use Bilsy only for lawful purposes. You SHALL NOT:
4.1 Prohibited Activities
- Illegal Activity: Use Bilsy for any illegal purpose or in violation of any laws
- Fraud: Create fake invoices, manipulate payment information, or engage in fraudulent activity
- Abuse: Harass, threaten, or abuse other users or our support team
- Spam: Send unsolicited invoices or marketing communications to your clients
- Security Violations: Attempt to breach security, access unauthorized data, or reverse engineer the Service
- Malware: Upload viruses, malware, or malicious code
- Impersonation: Impersonate Bilsy, our employees, or other users
- Data Scraping: Use automated tools to extract data from Bilsy without permission
- Resale: Resell or redistribute the Service without written authorization
4.2 Content Standards
Content you create (invoices, client names, descriptions) must not:
- Contain false, misleading, or fraudulent information
- Infringe on intellectual property rights
- Include defamatory, obscene, or offensive material
- Violate any applicable laws or regulations
4.3 Consequences of Violation
Violation of this policy may result in:
- Account suspension or termination
- Legal action and cooperation with law enforcement
- Liability for damages caused by your actions
5. Subscription Plans and Pricing
5.1 Free Tier
Bilsy offers a free tier with limited features, including:
- Up to 5 invoices per month
- Basic voice invoice creation
- Standard email invoice delivery
- Limited client management
5.2 Paid Subscriptions
Paid plans include additional features:
- Pro Plan: Unlimited invoices, advanced features, priority support
- Business Plan: Team accounts, expense tracking, financial reports
Pricing details will be announced prior to April 2026 launch.
5.3 Zero Transaction Fees
Important: Payment Processing
Bilsy charges ZERO transaction fees.
You connect your own Stripe account to receive payments directly from your clients. You keep 100% of your payments minus standard Stripe processing fees (typically 2.9% + $0.30 per transaction).
We never touch your money. All payments go directly to your Stripe account.
5.4 Billing and Payments
- Billing Cycle: Monthly or annual (annual plans receive discount)
- Payment Method: Credit card, debit card, or PayPal
- Auto-Renewal: Subscriptions automatically renew unless canceled 24 hours before renewal
- Failed Payments: If payment fails, you have 7 days to update payment method before account suspension
- Refunds: See Section 6 (Refund Policy)
5.5 Price Changes
We may change subscription prices with 30 days' advance notice via email. Existing subscribers will be grandfathered at their current price for 12 months.
6. Refund and Cancellation Policy
6.1 30-Day Money-Back Guarantee
New subscribers receive a full refund if canceled within 30 days of initial subscription, no questions asked.
6.2 Cancellation
- Cancel anytime through account settings
- Access continues until end of billing period
- No refunds for partial months (except within 30-day guarantee)
- Data export available for 30 days after cancellation
6.3 Refund Processing
- Refunds processed within 5-10 business days
- Refunded to original payment method
- Contact billing@bilsy.app for refund requests
6.4 No Refunds for:
- Violation of Terms resulting in account termination
- Downgrade from paid to free plan (no prorated refunds)
- Stripe transaction fees (these go directly to Stripe, not Bilsy)
7. Voice Data and AI Processing
7.1 How Voice Recording Works
When you use voice features:
- You tap the microphone and speak your invoice details
- Voice audio is sent to our AI processing service (encrypted)
- AI converts speech to text and extracts invoice data
- Original voice recording is immediately deleted (within seconds)
- Only text transcript and invoice data are retained
7.2 Voice Data Privacy
Your Voice Privacy Matters
- Voice recordings are NEVER stored permanently
- Voice data is NEVER sold or shared for marketing
- Voice data is NEVER used to train third-party AI models
- We may use anonymized transcripts to improve our AI accuracy
- You can opt out of AI improvement at any time in settings
7.3 Voice Recognition Accuracy
Bilsy uses advanced AI but is not perfect. You are responsible for:
- Reviewing AI-generated invoices for accuracy
- Correcting any errors before sending to clients
- Ensuring invoice data is accurate and complete
We are not liable for errors in AI transcription. Always review invoices before sending.
8. Payment Processing and Stripe Integration
8.1 Third-Party Payment Processor
Bilsy uses Stripe for payment processing. By using Bilsy's payment features, you also agree to:
8.2 Your Responsibilities
- Maintain a valid Stripe account in good standing
- Comply with all payment card industry (PCI) requirements
- Accurately describe goods/services in invoices
- Handle customer disputes and chargebacks
- Pay applicable taxes on your income
8.3 Chargebacks and Disputes
You are responsible for all chargebacks. Bilsy is not party to transactions between you and your clients.
Excessive chargebacks may result in account suspension to prevent fraud.
8.4 Tax Compliance
You are responsible for all taxes. Bilsy provides invoicing tools but does not:
- File taxes on your behalf
- Calculate sales tax (unless you configure it)
- Provide tax advice (consult a tax professional)
9. Intellectual Property Rights
9.1 Bilsy's IP
Bilsy and all related trademarks, logos, software, designs, and content are owned by Bilsy and protected by copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, or distribute our software
- Reverse engineer or decompile our code
- Use our trademarks without written permission
- Remove proprietary notices from the Service
9.2 Your Content
You retain ownership of all content you create (invoices, client data, business information).
By using Bilsy, you grant us a limited license to:
- Store and process your content to provide the Service
- Use anonymized, aggregated data for analytics and improvement
- Display your invoices to your clients (as directed by you)
We do not claim ownership of your invoices or client data.
9.3 Feedback and Suggestions
If you provide feedback, ideas, or suggestions about Bilsy, you grant us a perpetual, royalty-free license to use them without compensation or attribution.
10. Data Backup and Loss
10.1 Our Backups
We perform regular automated backups of your data. However:
- Backups are for disaster recovery only
- We cannot guarantee recovery of specific data
- Backups may be up to 24 hours old
10.2 Your Responsibility
Important: Backup Your Data
You are solely responsible for backing up your invoices and client data.
Use our export features to regularly download your data. We are not liable for data loss due to:
- Account deletion (intentional or accidental)
- Service outages or technical failures
- Security breaches beyond our control
- Your own errors or misuse
11. Service Availability and Support
11.1 Uptime
We strive for 99.9% uptime but do not guarantee uninterrupted service. The Service may be unavailable due to:
- Scheduled maintenance (announced in advance)
- Emergency maintenance (unscheduled)
- Force majeure events (natural disasters, etc.)
- Third-party service failures (Stripe, cloud providers)
11.2 Customer Support
- Free Plan: Email support, 48-hour response time
- Pro Plan: Priority email support, 24-hour response time
- Business Plan: Phone + email support, 12-hour response time
Support hours: Monday-Friday, 9am-6pm EST (excluding holidays)
11.3 No SLA for Free Tier
Free tier users do not receive a Service Level Agreement (SLA). Paid plans may include SLA guarantees.
12. Limitation of Liability
Important Legal Notice
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- BILSY IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
- We do not warrant that the Service will be error-free, secure, or uninterrupted
12.1 Limitation of Damages
IN NO EVENT SHALL BILSY BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Damages exceeding the amount you paid to Bilsy in the past 12 months (or $100 if using free tier)
12.2 Exceptions
Some jurisdictions do not allow limitation of liability. In such cases, our liability is limited to the greatest extent permitted by law.
12.3 Third-Party Services
We are not liable for failures of third-party services (Stripe, email providers, cloud storage, AI processors).
13. Indemnification
You agree to indemnify, defend, and hold harmless Bilsy from any claims, damages, losses, or expenses (including attorney fees) arising from:
- Your use of the Service
- Violation of these Terms
- Violation of any law or regulation
- Infringement of third-party rights
- Content you submit or create
- Your invoices, quotes, or business transactions
- Disputes with your clients
14. Termination
14.1 Termination by You
You may terminate your account at any time by:
- Deleting your account in settings
- Contacting support at info@bilsy.app
14.2 Termination by Bilsy
We may terminate or suspend your account immediately if:
- You violate these Terms
- Your account shows fraudulent activity
- You engage in illegal activity
- You fail to pay subscription fees
- We cease operations (with 30 days' notice)
14.3 Effect of Termination
- Your access to the Service will immediately cease
- Unpaid fees become immediately due
- Invoice data retained for 7 years per legal requirements
- You have 30 days to export your data
- Sections 9, 12, 13, 16, and 17 survive termination
15. Modifications to Terms
We may modify these Terms at any time. Changes will be effective:
- Immediately for new users
- 30 days after notice for existing users (for material changes)
15.1 Notice of Changes
We will notify you of material changes via:
- Email to your registered address
- In-app notification
- Notice on our website
15.2 Acceptance of Changes
Continued use of Bilsy after changes constitutes acceptance. If you do not agree, you must stop using the Service and cancel your account.
16. Dispute Resolution and Arbitration
Binding Arbitration Agreement - READ CAREFULLY
This section affects your legal rights, including your right to file a lawsuit in court.
16.1 Informal Resolution
Before filing any legal claim, you agree to contact us at legal@bilsy.app to attempt informal resolution. We will respond within 30 days.
16.2 Binding Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except where prohibited by law.
Arbitration Rules:
- Administered by American Arbitration Association (AAA)
- Governed by Federal Arbitration Act
- Conducted via phone, online, or in-person in your county of residence
- Arbitrator's decision is final and binding
16.3 Class Action Waiver
YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS. All claims must be brought individually, not as part of a class, consolidated, or representative action.
16.4 Exceptions to Arbitration
You may pursue claims in small claims court if they qualify, and either party may seek injunctive relief in court for intellectual property infringement.
16.5 Opt-Out
You may opt out of arbitration by sending written notice to legal@bilsy.app within 30 days of account creation.
17. General Provisions
17.1 Governing Law
These Terms are governed by the laws of [Your State/Country], without regard to conflict of law provisions.
17.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bilsy.
17.3 Severability
If any provision is found unenforceable, the remaining provisions will remain in full effect.
17.4 Waiver
Failure to enforce any right or provision does not constitute a waiver of that right.
17.5 Assignment
You may not transfer or assign your rights under these Terms. We may assign our rights to any successor or affiliate.
17.6 Force Majeure
We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, war, pandemics, government actions, etc.).
17.7 Export Compliance
You agree to comply with all export and import laws when using Bilsy internationally.
17.8 U.S. Government Users
If you are a U.S. government entity, Bilsy is a "Commercial Item" as defined in FAR 2.101, and use is subject to these Terms.
